Nokia´s Annual General Meeting on March 17, 1999

The Nokia Annual General Meeting (AGM) will be held on Wednesday, March 17, 1999 at 3 p.m. at the Helsinki Conference Centre. In addition to the issues inherent to the AGM, the meeting will also consider the proposals of the Board of Directors Nokia announced on January 29, 1999.

These proposals include a conversion of the share capital into euros and a change of the minimum and maximum amounts of the share capital as consequence thereof, a two-for-one split of the nominal value of Nokia shares and a conversion into euros, a bonus issue, a consolidation of the classes of shares and a provision of the nomination committee to be included in the Articles of Association.

In addition, the Board will propose an issue of stock options to Nokia´s key personnel, an authorization of the Board to decide on an increase of the share capital of Nokia Corporation, an amendment of the bonds with warrants issued in 1994, 1995 and 1997, and an increase of the capital of Nokia Corporation Foundation.

Composition of the Board
Casimir Ehrnrooth, Chairman of the Board, has informed the company that he will not stand for re-election. Mr Ehrnrooth has been a member of the Nokia Board of Directors since 1989 and has acted as the Chairman of the Board since 1992.

A nomination committee set by the Board has prepared a proposal on the composition of the Board members and announced that it will propose to the AGM that the number of Board members be nine and that the following persons be re-elected until the closing of the following AGM: Pirkko Alitalo, Edward Andersson, Paul J. Collins, Jouko K. Leskinen, Jorma Ollila, Robert F.W. van Oordt, Vesa Vainio and Iiro Viinanen. In addition, it will propose that Bengt Holmström be elected for the next one-year term a Board member. Mr Holmström is Professor at the Massachusetts Institute of Technology, Department of Economics, in the United States.

Dividend

The Board proposes to the AGM that a dividend of FIM 5.75 per share be paid for 1998. The record date for dividend payment is March 22, 1999 and the dividend will be paid after March 30, 1999.
