NOKIA ANNUAL GENERAL MEETING
February 20, 1998
Nokia Corporation’s Annual General Meeting (AGM) will be held in Helsinki on March 24, 1998, at 3:00 pm. In addition to the issues inherent to the AGM, the agenda will include the proposals of the Nokia Board of Directors concerning amendments to the Company’s Articles of Association and an increase of FIM 10 million in the capital of Nokia Corporation Foundation.
Proposed amendments to the Articles of Association
The proposed amendments to the Articles of Association concern a split of the nominal value of the Company’s shares from FIM 5 to FIM 2.50, the removal of the stipulation regarding the redemption of own shares, the shortening of the term of the Board members from three years to one year, the removal of the stipulation regarding the Executive Committee, and certain administrative changes.
Board composition
The Board members of Nokia have announced that, in the event that the proposed shortening of the term of Board members is approved, they will leave their posts regardless of their remaining terms.
Certain shareholders, representing more than 20 per cent of votes, have informed Nokia that they will propose that the number of Board members be nine and that the following persons be re-elected: Ms Pirkko Alitalo, Executive Vice President of The Pohjola Group; Edward Andersson, Professor i Helsinki University ; Mr Casimir Ehrnrooth, Chairman of the Board of Directors of Nokia; Mr Jouko K. Leskinen, President of Sampo Group; Mr Jorma Ollila, President and CEO of Nokia Corporation; Mr Vesa Vainio, Chairman of the Board of Directors of MeritaNordbanken Plc, and Mr Iiro Viinanen, President and CEO of The Pohjola Group. Additionally, they will propose that Mr Paul J. Collins, Vice Chairman and Director of Citicorp and Citibank N.A., and Drs Robert F. W. van Oordt, Chairman of the Supervisory Board of NKF Holding N.V. be elected for the next one-year term on the Board of Directors of Nokia.
Dividends
The Board of Directors of Nokia will propose to the AGM that a dividend of FIM 7.50 per share be paid for 1997. The record date for dividend payment is March 27, 1998. The Board will propose to the AGM that the dividend be paid after April 3, 1998.
