Over 10% of Nokia Share Voting Rights Held by UPM-Kymmene

According to information obtained by Nokia, UPM-Kymmene Oy’s percentage of Nokia Corporation share voting rights exceeded on February 12, 1997 the limit of 10% triggering the obligation to notify. The limit of 10% was exceeded due to the total voting rights in Nokia’s share capital decreasing as a result of the K shares (entitled to 10 votes) having being converted to A shares (entitled to 1 vote).
With reference to section 2, paragraph 10 of the Securities Market Act and the relevant decision by the Ministry of Finance, Nokia is reporting that UPM-Kymmene Oy’s percentage of Nokia share voting rights totaled 10.043% on February 12, 1997. UPM-Kymmene Oy’s percentage of shares and voting rights by share type was divided as follows:
- K shares 11 619 984 = 3.88% of shares and 10.040% of votes
- A shares 29 720 = 0.01% of shares and 0.003% of votes
- Total 11 649 704 = 3.89% of shares and 10.043% of votes
